Director Fees

What it is worth to sit on a Caribbean board.

A company’s directors are not its employees. They are paid a fee for sitting on the board and its committees, and that fee is published once a year in the corporate governance statement inside the annual report. This page collects those fees for the largest companies on the Jamaica Stock Exchange.

These are not salaries and they are kept apart from the salary data for that reason. No figure here counts towards a company’s pay figure, a median, or a report count anywhere else on the site.

4 companies. 3 publish a fee schedule and 1 names each director without one.

Taken from the five largest companies on the main market by market capitalisation, leaving out companies whose primary listing is in Port of Spain. These are the ones that publish a figure a reader can use.

  • Thalia Lyn, OD, JPJMD $6,475,002

The fee structure changed during the year. Until 31 March 2025 directors were paid per meeting; from 1 April 2025 the structure comprises retainers only, so each total spans both arrangements. Michael Lee-Chin, the Board Chairman, is not in the fee table; the report states that fees paid to the Chairman were included within a contract with AIC Global Holdings Inc. which existed up to July 2025. The report adds that the total paid did not exceed the amount approved by shareholders.

A director's fee is the board retainer plus a line for each committee they sit on, so no single figure describes a director. Executive directors are paid no fee. The report states directors receive no share-based compensation. It publishes the schedule and not what any individual director was paid.

Fees are paid in United States dollars. The company publishes what each director was paid but not the rate behind it, so these totals cannot be compared with another company's rate. Two directors resigned in May 2025, which the attendance register on page 12 records; the amounts are left as paid and are not annualised. The report does not explain why two directors who attended eight and seven of eight board meetings were paid less than their colleagues, so neither does this.

How to read these numbers

The rate is the comparable figure. It says what a company has decided a seat on its board is worth, and it is set in advance for everyone who holds that office. A total is not comparable: it is the rate multiplied by how many meetings somebody attended and how much of the year they served, so two directors on the same board can be paid very different sums without either being more senior than the other.

Where a director joined or left part way through a year, the amount is shown as paid and is never scaled up to a full year. A director who is not in a company’s fee table is not reported as unpaid: where the report explains the absence it is quoted, and where it does not, nothing is claimed.

Nothing on this page is self-reported, so nothing carries a report count. What it carries instead is the document and the page number it was read from.
